Introduction: This End User License Agreement (EULA) is a legal agreement between you, the end user, and Uniberry Technologies Private Limited, a technology consulting and services company incorporated under the Companies Act 2013 with its registered office at Pune, Maharashtra, for the use of software or services (collectively referred to as the “Product”) that are made available for download from the Uniberry Technologies Private Limited website (www.uniberry.net or any other domain owned by the company).
License Grant: Uniberry Technologies Private Limited grants you a non-exclusive, non-transferable, limited license to use the Product subject to the terms and conditions of this EULA.
Restrictions: You may not modify, reverse engineer, decompile, or disassemble the Product, or create any derivative works based on the Product. You may not rent, lease, lend, or sublicense the Product. You may not use the Product for any illegal purpose or in any manner that breaches this EULA.
Ownership: The Product and all proprietary rights thereto, including but not limited to patent, copyright, trademark, and trade secret rights, are and shall remain the exclusive property of Uniberry Technologies Private Limited.
Termination: This EULA is effective until terminated. You may terminate this EULA at any time by destroying the Product and all copies thereof. This EULA will automatically terminate if you breach any of its terms. Upon termination, you must destroy the Product and all copies thereof.
Disclaimer of Warranty: The Product is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Uniberry Technologies Private Limited makes no representations or warranties of any kind, express or implied, as to the operation of the Product or the information, content, materials, or products included on the Product.
Limitation of Liability: Uniberry Technologies Private Limited shall not be liable for any damages of any kind arising from the use of the Product, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
Indemnification: You agree to indemnify and hold Uniberry Technologies Private Limited, its directors, officers, employees, agents, and affiliates harmless from any claims, damages, and expenses, including reasonable attorneys’ fees, arising from your use of the Product or your violation of this EULA.
Governing Law: This EULA shall be governed and construed in accordance with the laws of India, without regard to its conflicts of law provisions. Any dispute arising under this EULA shall be resolved exclusively by the courts located in Pune, Maharashtra.
Entire Agreement: This EULA constitutes the entire agreement between you and Uniberry Technologies Private Limited regarding the use of the Product and supersedes all prior agreements and understandings, whether written or oral, regarding the same.
